1. Purpose of the Franchise Program
The Helixson Academy Franchise Program is designed to establish a growing network of authorized Helixson Academy Learning Centers across cities, districts, and states.
The objective is to make quality technology education, professional training, certification programs, practical learning, and career-oriented courses accessible to students and professionals through both offline learning centers and online learning systems.
The Franchise Partner will operate and manage the physical learning center, while Helixson Academy will provide centralized academic, teacher, examination, certification, technology, and administrative support.
The model is designed to encourage the continuous establishment of new authorized Helixson Academy centers while maintaining consistent academic and operational standards.
2. Franchise Revenue Sharing Model
The standard revenue-sharing model for eligible course fees is:

The 60% share will belong to the authorized Franchise Partner and the 40% share will belong to Helixson Academy, subject to the applicable terms of this policy.
Important
The revenue share applies only to eligible revenue defined by Helixson Academy.
Registration charges, examination charges, certification charges, special events, third-party expenses, taxes, or other specifically excluded charges may be treated separately and will not automatically form part of the 60%–40% revenue-sharing calculation unless specifically approved by Helixson Academy.
3. Franchise Partner's Role
The Franchise Partner will be responsible for establishing, operating, promoting, and managing the physical Helixson Academy Learning Center.
The Franchise Partner will generally be responsible for:
Arranging suitable center premises.
Managing the physical center.
Maintaining classrooms and learning infrastructure.
Providing required furniture and basic facilities.
Maintaining a professional learning environment.
Supporting student admissions and local enquiries.
Conducting local marketing and promotional activities.
Supporting student communication at the center.
Maintaining day-to-day center operations.
Supporting students with online and offline learning.
Coordinating with Helixson Academy for academic and administrative matters.
Following Helixson Academy's branding and operational guidelines.
The Franchise Partner is responsible for the successful local operation of the center.
4. Physical Learning Center Requirement
Every Franchise Partner must establish and maintain a suitable physical learning center.
The center should provide an appropriate environment for:
Classroom training
Practical training
Computer-based learning
Student counselling
Assessments
Workshops
Seminars
Student support
Other approved academic activities
The exact infrastructure requirements may vary depending on the courses offered and the category of the center.
Helixson Academy may specify minimum infrastructure and branding standards from time to time.
5. Center Infrastructure
The Franchise Partner will generally arrange and maintain:
Suitable premises
Classroom space
Tables and chairs
Electrical infrastructure
Internet connectivity
Computer/lab facilities where required
Projector/display where required
Basic office facilities
Student waiting/counselling area where applicable
Signage and approved branding
Safety and cleanliness arrangements
Additional infrastructure may be required for specialized courses such as Networking, Cloud Computing, Cybersecurity, AI, Software Development, or practical laboratory programs.
6. Online and Offline Learning
Helixson Academy's franchise model will support both:
Offline Learning
Students may attend classes physically at the authorized Franchise Center.
Online Learning
Students may also participate in approved online classes, sessions, assessments, webinars, practical activities, or other digital learning programs.
The Franchise Partner may support students in accessing Helixson Academy's online learning systems from the physical center.
7. Teacher Management
Teachers for Helixson Academy courses will be provided, assigned, or approved by Helixson Academy according to course and academic requirements.
The Franchise Partner should not independently appoint unauthorized teachers for Helixson Academy-certified courses without prior approval.
Helixson Academy will be responsible for the applicable teacher payment for teachers assigned through the Academy's approved teaching structure.
Teacher payments will be governed by the applicable Helixson Academy Teacher Teaching & Payment Policy.
8. Teacher Payment
Where teachers are assigned by Helixson Academy:
Teacher payments will be processed by Helixson Academy.
The Franchise Partner will not be required to directly pay the assigned Helixson Academy teacher unless specifically agreed in writing.
Teacher payment will be governed by the applicable Academy payment structure.
The Franchise Partner must cooperate with teacher scheduling and class arrangements.
This centralized teacher model is intended to maintain consistency in teaching quality and academic delivery across different franchise centers.
9. Academic Administration
Academic administration will be primarily managed through the centralized Helixson Academy system.
The Academy may centrally manage:
Course structure
Curriculum
Teacher allocation
Academic schedules
Assessments
Examinations
Results
Certification
Student academic records
Teacher records
Academic guidelines
Course completion status
The Franchise Partner will support students locally and coordinate with Helixson Academy where required.
10. Student Registration
Students should be registered through the official Helixson Academy system.

The Franchise Partner may assist students with registration but must ensure that student information is submitted accurately.

However, the Franchise Partner must not make unauthorized promises regarding:

12. Examination and Assessment
Examinations and assessments for Helixson Academy programs will be conducted according to the applicable Academy academic structure.
Helixson Academy may centrally manage:

Evaluation
Result processing
Result publication
The Franchise Partner may provide infrastructure and local support where an examination is conducted at the center.
13. Results
Official student results will be generated and maintained through the Helixson Academy system.
The Franchise Partner must not independently create, modify, issue, or publish official Helixson Academy results.
Students should receive their official academic results through the authorized Academy system.
14. Certification
Certificates for Helixson Academy programs will be issued only through the authorized Helixson Academy system.
The Franchise Partner will not have independent authority to:
Create certificates
Modify certificates
Print unauthorized certificates
Change certificate information
Issue certificates outside the approved system
Where physical certificates are applicable, printing and delivery will be handled according to the Academy's approved certification process.
Digital certificates may also be issued through the official Academy system where applicable.
15. Certificate Verification
Helixson Academy may maintain an official certificate verification system.
Certificate verification may include:

Other relevant verification information
Only certificates issued through the authorized Helixson Academy system will be recognized as official Academy certificates.

19. Helixson Academy Responsibilities

Franchise Partners may work toward:

22. Additional Center Expansion
A Franchise Partner who successfully operates an authorized center may apply for additional Helixson Academy centers or approved locations.
Additional centers will require separate approval from Helixson Academy.

Infrastructure
Local demand
Management capability
Territory requirements
Each additional center may be subject to separate documentation and commercial terms.
23. Brand and Identity
The Franchise Partner will operate under the authorized Helixson Academy brand according to the applicable brand guidelines.
The Franchise Partner may use approved:

Signage

Promotional materials
Digital assets
Course information
Marketing materials
Unauthorized modification or misuse of the Helixson Academy brand is not permitted.
24. Student Fee Collection
Student payments should preferably be made through official Helixson Academy payment channels or other officially approved methods.
Where the Franchise Partner is authorized to collect eligible fees locally, such transactions must be properly recorded and reported according to the Academy's financial procedures.
The Franchise Partner must not collect unauthorized charges in the name of Helixson Academy.
25. Revenue Sharing Calculation
The applicable eligible course revenue will be divided according to the approved revenue-sharing model:

Helixson Academy — 40%

If an eligible course fee is ₹10,000:

Payment gateway charges where applicable

The final classification of revenue will be determined according to the applicable commercial schedule issued by Helixson Academy.
27. Payment Settlement
Franchise revenue settlement will be processed according to the Academy's applicable settlement cycle.

Only verified and eligible transactions will be considered for final settlement.
28. Refunds and Cancellations

Where a refund affects an eligible revenue transaction, the corresponding franchise revenue share may also be adjusted.
The Franchise Partner must not independently promise or approve refunds outside the authorized Academy process.

Student information collected through Helixson Academy systems must be treated as confidential.
The Franchise Partner must not:
Sell student data.
Share student data with unauthorized third parties.
Use student information for unrelated commercial activities.
Export or misuse confidential Academy data.
Student information must be used only for legitimate educational, administrative, and authorized communication purposes.
30. Academic Quality Standards
Every Franchise Center must maintain the academic and professional standards defined by Helixson Academy.
The Academy may monitor:

Brand compliance
The Franchise Partner must cooperate with reasonable quality-assurance processes.
31. Center Inspection and Review

32. Unauthorized Activities
The Franchise Partner must not:

Appoint unauthorized teachers for Academy-certified programs.
Collect unauthorized fees.
Make false employment or placement promises.
Misuse Academy branding.
Sell or share confidential student information.
Represent an unauthorized location as an official Academy center.
Modify Academy documents without authorization.
Create fake or modified Academy records.
33. Franchise Partner Performance
Franchise performance may be reviewed based on factors such as:

Franchise Partners are encouraged to contribute to this objective by:

Increasing student access to technology education.
Conducting regular training programs.
Promoting practical learning.
Developing local educational partnerships.
Supporting student career development.
Expanding the reach of Helixson Academy programs.
The focus is on sustainable expansion with consistent quality, rather than expansion at the cost of academic standards.
35. Franchise Partner Support
Helixson Academy may provide appropriate support to Franchise Partners in areas including:

Student registration

Certification
Marketing materials
Brand guidance
Operational guidance
Technical support
The level of support may vary according to the approved franchise model and services.
36. Non-Employment Relationship
A Franchise Partner is an independent business operator and is not an employee of Helixson Academy solely by virtue of the franchise relationship.
The Franchise Partner is responsible for managing its own:

Premises
Local expenses
Utilities
Local marketing
Local staff, where applicable
Statutory requirements applicable to its operations
The franchise relationship does not automatically create an employer-employee, partnership, or agency relationship unless separately agreed in writing.
37. Compliance with Applicable Laws
The Franchise Partner must comply with applicable laws, regulations, local requirements, taxation requirements, and other statutory obligations relating to its center and business operations.
The Franchise Partner is responsible for obtaining any local permissions, registrations, or approvals required for operating its physical center.
38. Franchise Agreement
This policy provides the general operating framework for Helixson Academy Franchise Centers.
The final commercial relationship between Helixson Academy and a Franchise Partner will be governed by the applicable Franchise Agreement / MoU / Commercial Agreement signed by both parties.
Where there is a conflict between this policy and a specific signed agreement, the applicable signed agreement will govern to the extent legally permissible.
39. Suspension or Termination
Helixson Academy may suspend or terminate a franchise relationship in accordance with the applicable franchise agreement in cases including:
Serious policy violations
Brand misuse
Unauthorized certification
Financial misconduct
Student complaints of serious nature
Repeated academic non-compliance
Misrepresentation
Unauthorized collection of fees
Misuse of Academy systems
Data misuse
Fraudulent activities
Failure to maintain required standards
Upon termination, the Franchise Partner must stop representing itself as an authorized Helixson Academy center and discontinue use of Academy branding and systems as instructed.
40. Commitment to Students
Every Helixson Academy Franchise Center is expected to prioritize:
